PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY USING THIS SITE AND/OR PRODUCT YOU AGREE TO BE BOUND BY ALL OF THE BELOW TERMS AND CONDITIONS AND PRIVACY POLICY.

Moneylicious Securities Private Limited, a Company incorporated under the Companies Act, 1956 having CIN: U74999WB2012PTC184187 (“Company”, “We” or “Us” and their connotations) operates websites (URL: www.dhanhq.co and web.dhan.co) and API Product called DhanHQ Trading API (together called as “DhanHQ API”). Our Platform provides the service of offering an API product for carrying out trade transactions that collects personal data or information to process Users (defined hereinafter) financial and non-financial transaction requests.

These terms and conditions (“Terms”) describe the terms on which the Company grants Users access to the DhanHQ API (hereinafter referred to as “Services”) and shall be read with the Privacy Policy, Disclosure & Disclaimer and Terms & Conditions available on www.dhan.co. The users of the DhanHQ API are herein referred to as “You”. The term “Users” for the purposes of these Terms shall be read as You.

DhanHQ API shall through its APIs provide investment information, execution services, live market feeds and other ancillary services related to trading on Dhan The information on the DhanHQ API is provided solely to enable Users to make their own investment decisions and does not constitute a recommendation to buy, sell or otherwise deal in investments. The Services We offer may not be suitable for all Users. In case of any doubts, You are advised to seek advice from an independent financial adviser. You agree that all investment and disinvestment decisions made using any information provided on the DhanHQ API shall be based on your own evaluation of the financial circumstances. You are also advised to check for accuracy of information displayed on the DhanHQ API, as DhanHQ API takes no responsibility towards the accuracy of the same, and all information and Services provided to You are on the best-efforts basis.

These Terms shall apply fully to your use of the DhanHQ API. By using the DhanHQ API, You agree to accept all terms and conditions written here. You must not use the DhanHQ API if You disagree with these Terms.

In consideration of your use of the DhanHQ API, You represent that You are of legal age and competent to enter in a contract and are not a person barred from receiving Services under the laws as applicable in India. You also agree to provide true, accurate, current and complete information about yourself as prompted by the DhanHQ API or any information provided by You by other means of communication.

Services Use

1.1. License Grant: Subject to the terms and conditions of this Terms, DhanHQ API grants you a non-exclusive, non-transferable license to use the Services solely for the purpose of integrating Dhan’s features and services into your applications or services ("Your Application").

1.2. Access Token: In order to use the Services, you must obtain an Access Token from Company. The Access Token is personal to you and may not be shared or transferred to any third party. You are solely responsible for maintaining the confidentiality of your Access Token and for any activity that occurs under your Access Token.

1.3. Restrictions: You agree not to:
a) Use the DhanHQ API for any illegal or unauthorized purpose;
b) Reverse engineer, decompile, or disassemble the DhanHQ API;
c) Interfere with or disrupt the DhanHQ API or the servers or networks connected to the DhanHQ API;
d) Use the DhanHQ API in a manner that could damage, disable, overburden, or impair Company's servers or networks;
e) Use the DhanHQ API to build a competitive product or service;
f) Undertake any activity in contravention to NSE circular NSE/COMP/56426 and NSE/MEM/26958 or any other circular issued subsequently in this regard or provide such services to Dhan’s clients.
g) directly or indirectly make any reference to the past performance or expected return out of algorithmic trading services/strategies in any form of advertisements/business communication on publicly accessible platforms such as social media/websites/digital & print media etc
h) make any reference to the past performance or expected return out of algorithmic trading services/strategies, during any presentations/account opening forms/pamphlets/banners/ forums/gatherings organised to onboard new clients/pitching new segment/product to existing clients. Including, exhibiting of past performance, or expected return on any of the platforms
i) directly or indirectly associate with any platform providing any reference to the past or expected future return/performance of the algorithm.
j) Issue any advertisements using Dhan’s name and logo without seeking explicit confirmation from Dhan.

1.4. Usage Limits: Company may impose usage limits on the Services, including but not limited to the number of API calls or the amount of data that you may access or use. Company may modify or restrict these limits at its sole discretion without prior notice.

Data and Privacy

2.1. Data Collection: By using the Services, you acknowledge and agree that Company may collect and use certain data and information, including but not limited to user data and usage data, in accordance with Company's Privacy Policy.

2.2. Data Usage: You are solely responsible for obtaining all necessary consents and permissions required to access and use any user data through the DhanHQ API. You agree to use user data only in compliance with applicable laws and regulations and for the sole purpose of providing Dhan’s features and services through Your Application.

2.3. Security: You agree to implement appropriate security measures to protect any user data obtained through the DhanHQ API and to prevent unauthorized access, use, or disclosure of such data.

Intellectual Property

3.1. Ownership: Company retains all right, title, and interest, including all intellectual property rights, in and to the DhanHQ API. This  does not grant you any ownership rights in the DhanHQ API.

3.2. Feedback: If you provide any feedback, suggestions, or ideas regarding the DhanHQ API ("Feedback"), Company may use such Feedback for any purpose without obligation to you.

Support and Updates

4.1. Support: Company may provide support for the Services at its sole discretion. The availability and scope of support may vary and are subject to change without notice.

4.2. Updates: Company may release updates, modifications, or enhancements to the Services at any time. You agree to implement and use the latest version of the DhanHQ API and to ensure that Your Application remains compatible with such updates.

Termination

5.1. Termination: Company may, at its sole discretion, terminate or suspend your access to the DhanHQ API at any time for any reason, without prior notice or liability.

5.2. Effect of Termination: Upon termination of this Terms, your license to use the Services will cease, and you must immediately stop using the Services and delete any copies of the Services in your possession or control.

Disclaimer

The DhanHQ API and the Services provided are on an “as is,” basis. The Company, its licensors and affiliates make no representations or warranties of any kind (express, statutory or implied) as to the operation of the DhanHQ API, provision of Services or the information, content, materials, or products included on the DhanHQ API, or in association with the Services or any third party websites or services. The Company will not be held responsible for any unethical, illegal acts performed by the Users and the action of each of the Users shall be their own responsibility solely.

The Company disclaims any and all warranties, express or implied, including, but not limited to, implied warranties of merchantability, quality of service and fitness for a particular purpose and shall not be responsible for any loss of data, loss of profits or any kind of misuse (statutory or otherwise) by any of its Users individually or during their interaction with each other.

You understand and agree that if You use, access, download, or otherwise obtain information, materials, or data through the app / website / Service, the same shall be at your own discretion and risk and that You will be solely responsible for any damage to your property (including your computer system and / or other device) or loss of data that results from the download or use of such material or data. We do not authorize anyone to make any warranty on our behalf and You should not rely on any such statement. This paragraph shall survive termination of these Terms. You also understand and agree that the Company shall ensure the availability and access to the DhanHQ API, its products and Services on best-effort basis, and the uptime / availability of the DhanHQ API will be dependent on uptime / availability from exchanges, connectivity service partners, Internet Service Providers (ISPs) and telecom service providers. However, it can be limited due to software and hardware availability and functionality also.

Except as provided above, there are no other warranties, conditions or other terms and conditions, express or implied, statutory or otherwise, and all such terms and conditions are hereby excluded to the maximum extent permitted by law.

Limitation of liability

In no event shall the Company, nor any of its officers, directors and employees, be held liable for anything arising out of or in any way connected with your use of the DhanHQ API, whether such liability is under contract. The Company, including its officers, directors and employees shall not be held liable for any direct or indirect, consequential or special liability arising out of or in any way related to your use of the DhanHQ API.

Indemnification

You hereby agree to indemnify to the fullest extent, the Company and its officers, directors, employees and agents from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way or related to: (i) Your use or misuse of the Services / app / website; (ii) any violation by You of these Terms or applicable laws; or (iii) any breach of the representations, warranties, and covenants made by You herein; or (iv) any act, neglect, misconduct or fraud on your part; or (v) sharing and or disclosing the information disclosed hereunder.
Company reserves the right, at your expense, to assume the exclusive defense and control of any matter for which You are required to indemnify the Company, including rights to settle, and You agree to cooperate with the Company’s defense and settlement of these claims. Company will use reasonable efforts to notify You of any claim, action, or proceeding brought by a third party that is subject to the foregoing indemnification upon becoming aware of it. This paragraph shall survive termination of these Terms.

Severability

If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

Variation of Terms

The Company is permitted to revise these Terms at any time as it sees fit, and while using the DhanHQ API You are expected to review these Terms on a regular basis. The revised Terms shall be made available on the Website/DhanHQ API. The changes will become effective, and shall be deemed accepted by You, 24 hours after the initial posting and shall apply immediately on a going forward basis with respect to your use of the DhanHQ API, availing the Services or for payment transactions initiated through the DhanHQ API after the posting date. If You do not agree with any such change, your sole and exclusive remedy is to terminate your use of the app / website / Service.

Assignment

The Company is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, You are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Entire Agreement

These Terms read along with our Privacy Policy constitute the entire agreement between the Company and You in relation to your use of the DhanHQ API, and supersede all prior agreements and understandings.

Termination

Company may remove, restrict, cancel or suspend access to and/or use of the Service and any part of it, if Company considers (in the sole discretion of Company) that You have breached any of these Terms. You agree that any termination of your access to the website and / or the app or any account You may have or portion thereof may be effected without prior notice, and You agree that Company will not be liable to You or any third party for any such termination or interruption. Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies the Company may have under law or in equity. Upon termination for any reason, you agree to immediately stop using the DhanHQ API’s product / website / Service.

You may also terminate these Terms with the Company by ceasing to access the Service, deleting all copies of the Service or part thereof within your control. Termination shall not affect any rights or remedies, which have accrued up to the time of termination.  You understand that the Company and DhanHQ API are subject to operate under various guidelines from the regulatory / government agencies beyond these Terms & Conditions, its privacy policy, and the rest; hence the termination of usage of the account might not necessarily result in the deletion of personal information and data provided by You to the Company.

Force Majeure

Company/its authorised representative and its service providers shall not be liable for any failure to perform any of its obligations or service standards etc. if the performance is prevented, hindered or delayed by a Force Majeure Event (“Force Majeure Event”), which includes any event due to any cause beyond the reasonable control including, without limitation, unavailability of any communication system including internet, breach or virus in the processes or payment mechanism, sabotage, fire, flood, explosion, acts of God, pandemic, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, unauthorized access to computer data and storage devices, computer crashes, breach of security and encryption codes.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the Arbitration and Conciliation Act 1996, or such similar laws of India, which are not in conflict with each other. Such shall be subjected to the exclusive jurisdiction of the competent courts of Mumbai, India.
